RIVERBEND OF NAPLES MEETINGS AND STATUTESShareholders meetings ("Members Meetings") must be held whenever there is an agenda item that requires voting by the members, especially with regard to finances, such as budget approval, reserves, assessments or anything that concerns common property.
The Annual Shareholders Meeting is the only required members meeting that is held every year in February. Elections of the directors, as applicable, are held at this time. Besides the Annual Meeting, special meetings of the members may be called at the request of a majority of the directors, or by 10% of the members. Shareholders must be advised of such a meeting 14 days in advance. Meetings of the Board of Directors may be held at any time as determined by a majority of directors. Notice of all board meetings along with the agenda must be posted 48 hours prior, except in an emergency. If budget or assessment items or amendments regarding unit use are discussed, then notice of the meeting must be transmitted or posted 14 days prior to the meeting. The Organizational Meeting is held immediately after the Annual Meeting. All meetings of the Board of Directors must be "open" meetings, meaning that all shareholders may attend. Members have the right to speak at any meeting on any agenda item; however, the Board of Directors may set limits on the frequency or time allotted. Meetings required by statutes: Most meeting requirements for Cooperatives, such as Riverbend, can be found in Chapter 719 of the Florida Statutes, (see link on right), and more detailed information can be found in our bylaws (see link under MEMBERS > Homeowner Documents).
